Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Datum Hub Inc website at https://datumhub.co and the Datum platform (together, the “Service”). Datum Hub Inc is referred to as “Datum Hub”, “we”, “our”, or “us” in these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

Datum Hub is an operations platform for businesses that make, source, and deliver, providing capabilities across procurement, inventory, projects, manufacturing, sales, and operational finance, together with associated AI features.

The platform is currently offered on an early access basis. Features may change, be added, or be withdrawn, and the Service may be modified or discontinued at our discretion. Early access functionality may contain defects and should not be relied upon as the sole system of record for critical business operations without independent verification.

3. Accounts

Where the Service requires an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of your credentials
• Notify us promptly at gsr@datumhub.co of any unauthorised access or suspected security breach
• Accept responsibility for all activity occurring under your account

You are responsible for the acts and omissions of any user you authorise to access the Service through your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to any part of the Service, other accounts, or connected systems
• Interfere with, disrupt, or place undue load on the Service or its infrastructure
• Transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Service, except to the extent this restriction is prohibited by applicable law
• Access the Service to build a competing product, or to benchmark it for public disclosure without our written consent
• Use automated means to scrape or extract data from the Service other than through interfaces we provide
• Upload content you do not have the right to upload, or that infringes the rights of others

5. Intellectual Property

The Service, and all content, features, and functionality within it — including text, graphics, logos, interfaces, and software — are the exclusive property of Datum Hub and its licensors, and are protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with them. No other rights are granted.

If you provide feedback or suggestions about the Service, we may use them without restriction or obligation to you.

6. Your Data

You retain ownership of all data you input into the Service. We claim no ownership over your business data.

You grant us a limited licence to host, store, process, and transmit your data solely as necessary to provide and support the Service. We will not access, use, or disclose your data except to provide the Service, to address a technical or security issue, with your instruction, or where required by law.

You are responsible for the accuracy and legality of the data you input, and for having the necessary rights and consents to provide it to us.

7. Third-Party Services

The Service may integrate with third-party products, including accounting systems such as QuickBooks and Xero. Your use of those products is governed by their own terms, and we are not responsible for their availability, accuracy, or practices. Disabling or changing a third-party integration may affect Service functionality.

8. Fees

Where the Service is offered on a paid basis, fees, billing frequency, and included entitlements are as set out in the applicable ordering document or on our pricing page. Prices are subject to change on notice. Unless stated otherwise, fees are exclusive of applicable taxes, which are your responsibility.

9. Service Availability

We aim to maintain high availability but do not warrant uninterrupted or error-free access. We may perform maintenance, updates, or changes that temporarily affect availability, and will make reasonable efforts to give advance notice of planned downtime where practicable.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE FREE OF ERRORS.

Outputs generated by AI features may be inaccurate or incomplete and are provided to assist, not replace, human judgement. You are responsible for reviewing them before acting.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATUM HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Datum Hub and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, or your breach of these Terms.

13. Term and Termination

These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if continued provision would create a security or operational risk.

On termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period following termination, after which it may be deleted. Sections 5, 6, 10, 11, 12, and 15 survive termination.

14. Changes to These Terms

We may modify these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, provide reasonable advance notice where we hold your contact details. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Datum Hub regarding the Service, and supersede any prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
